These Terms of Service (“Terms”) govern your access to and use of the website located at https://heybento.com, and the related applications, products, and services (collectively, the “Services”), operated by Magic Red Panda LLC, a Delaware limited liability company, which operates the Bento service (“Bento,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

The Services

Bento provides tools that allow users to upload, send, and organize documents such as receipts, invoices, bills, and related materials for informational and organizational purposes. The Services do not provide accounting, legal, or tax advice. You are solely responsible for how you use any information generated or organized through the Services.

Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.

Accounts

Some features of the Services require you to create an account. You are responsible for:

  • Providing accurate and complete information
  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account

    • You agree to notify us promptly of any unauthorized use of your account.

    User Content

    Ownership

    You retain ownership of all documents, images, and other materials you upload or send to Bento (“User Content”).

    License

    By submitting User Content, you grant Bento a limited, non-exclusive, royalty-free license to host, store, process, reproduce, and display such content solely for the purpose of providing, operating, and improving the Services.

    Responsibility

    You represent and warrant that:

  • You have all rights necessary to submit the User Content
  • Your User Content does not violate applicable law or the rights of any third party

    • Text Messaging (SMS/MMS)

    User-Initiated Messaging

    Bento allows users to send documents and images to us via text message or multimedia message (SMS/MMS). Messaging is user-initiated. By sending us SMS or MMS messages, you consent to receive text message responses from Bento related to your request or use of the Services.

  • Message frequency varies
  • Message and data rates may apply, depending on your carrier
  • Bento does not send marketing or promotional text messages

    • Opt-Out

    You may opt out of receiving text messages at any time by replying STOP. For help, reply HELP or contact us at support@heybento.com. Consent to receive text messages is not a condition of purchase.

    Acceptable Use

    You agree not to:

  • Use the Services for unlawful, harmful, or abusive purposes
  • Upload malware or malicious code
  • Interfere with or disrupt the operation or security of the Services
  • Attempt to access data or accounts that do not belong to you

    • We may suspend or terminate access if you violate these Terms.

    Privacy

    Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

    Third-Party Services

    The Services may depend on or integrate with third-party services. Bento is not responsible for the availability, accuracy, or behavior of third-party services.

    Disclaimer of Warranties

    The Services are provided “as is” and “as available.”

    To the maximum extent permitted by law, Bento disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

    Limitation of Liability

    To the maximum extent permitted by law:

  • Bento will not be liable for any indirect, incidental, consequential, special, or punitive damages
  • Bento’s total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Bento in the twelve (12) months preceding the claim, or $100 if no fees were paid

    • Indemnification

    You agree to indemnify and hold harmless Bento and Magic Red Panda LLC from any claims, damages, liabilities, and expenses arising out of your use of the Services or violation of these Terms.

    Termination

    You may stop using the Services at any time. We may suspend or terminate access to the Services if you violate these Terms or if required by law.

    Changes to the Services or Terms

    We may modify the Services or these Terms from time to time. If we make material changes, we will update the effective date and provide notice as required by law.

    Governing Law

    These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws principles.
